These Terms and Conditions (“Terms”) govern the use of services provided by Grafitec (“Company”, “we”, “us”, or “our”), a web design and graphical services provider. By engaging our services, you (“Client” or “you”) agree to be bound by these Terms.
The Company offers web design, e-commerce solutions, social media, graphical design, branding, and other related services. The specific services provided to you will be outlined in a separate proposal or contract.
A proposal outlining the scope, timeline, and cost of the project will be provided to the Client. Acceptance of the proposal by the Client signifies agreement to these Terms and the conditions outlined in the proposal.
4.1. Deposit
A deposit of 50% of the total project cost is required before work commences.
4.2. Balance Payment
The remaining balance is due upon project completion and before final delivery of the work.
4.3. Additional Costs
Additional costs may be incurred for any changes or additional work requested by the Client beyond the original scope.
5.1. Content Provision
The Client agrees to provide all necessary content, images, and information required for the project in a timely manner.
5.2. Warranty
The Client warrants that all materials provided do not infringe on any third-party rights.
5.3. Permissions and Licenses
The Client is responsible for obtaining any necessary permissions or licenses for the use of provided content.
6.1. Hosting and Domain Fees
All web design services exclude hosting fees and domain registration fees. These fees, including the cost of the domain name, are the responsibility of the Client.
6.2. Ongoing Costs
The Client acknowledges and agrees that any web design services provided by the Company that require hosting or domain registrations will incur ongoing costs. The Client is solely responsible for the payment of all monthly and annual fees associated with these services. These services will be registered on the Client’s account or will be linked to the Client’s banking account. The Company is not liable for any disruptions, suspensions, or cancellations of hosting or domain services resulting from the Client’s failure to make timely payments.
Any additional plugins or third-party services required for the project are payable by the Client, resulting in additional costs.
All work will be completed within the stipulated time frame as indicated in the contract. This time frame will be inserted into the specific contract for each project.
9.1. Client Requests
Any additional costs incurred based on changes or additional requests from the Client will be payable by the Client.
9.2. Post-Completion Modifications
If the Client requires any modifications to the project after completion or changes to the scope, this will result in additional costs to the Client.
10.1. Data Collection
Grafitec collects and processes personal information in accordance with the Protection of Personal Information Act (POPIA).
10.2. Usage
Personal information will be used solely for the purpose of providing services to the Client.
10.3. Security
Grafitec implements appropriate technical and organizational measures to ensure the security and confidentiality of personal information.
10.4. Client Rights
Clients have the right to access, correct, or delete their personal information held by Grafitec. Requests can be made in writing to the contact information provided below.
Grafitec reserves the right to amend or modify these terms and conditions at any time. Any changes will be communicated to the Client in writing.
12.1. Number of Revisions
The project includes the revisions specified in the proposal. Any additional revisions will be charged at an hourly rate as detailed in the proposal.
12.2. Significant Changes
Any significant changes to the project scope will require a new proposal and may affect the timeline and cost.
13.1. Ownership
The Company retains ownership of all preliminary work and concepts.
13.2. License
Upon full payment, the Client is granted a non-exclusive, perpetual license to use the final deliverables.
13.3. Portfolio Rights
The Company reserves the right to display the completed work in our portfolio and marketing materials.
Both parties agree to keep confidential all information disclosed during the project. This does not include information that is publicly known or required to be disclosed by law.
15.1. Notice
Either party may terminate the agreement with written notice.
15.2. Payment
The Client is responsible for payment of all work completed up to the date of termination.
15.3. Deposit
The Company reserves the right to retain any deposits paid in the event of termination by the Client.
16.1. Skill and Care
The Company will provide the services with reasonable skill and care.
16.2. Limitation of Liability
The Company is not liable for any indirect, incidental, or consequential damages arising from the use of our services.
16.3. Total Liability
The Company’s total liability shall not exceed the amount paid by the Client for the specific project.
These Terms are governed by the laws of South Africa. Any disputes will be resolved in the courts of South Africa.
The Company reserves the right to amend these Terms at any time. Clients will be notified of any changes, and continued use of our services constitutes acceptance of the new Terms.
By engaging the Company for services, the Client acknowledges that they have read, understood, and agree to be bound by these Terms and Conditions.
